BOYANOV & Co. Advised UniCredit Bulbank and United Bulgarian Bank on the Financing of the Acquisition by Plastchim-T of Manucor S.p.A, Italy

Plastchim-T is a Bulgarian company, that is one of the leading privately owned European manufacturers of biaxially oriented polypropylene films (BOPP), cast polypropylene films (CPP), and flexible packaging products. Manucor is an Italian company founded in 1987 and has grown to become a major biaxially oriented polypropylene (BOPP) manufacturer. The acquisition will expand the existing joint manufacturing capacity up to 200,000 tons annually, strengthen the logistics and distribution network in Europe, as well as allow film lineup by adding a significant base of loyal clients.

The team of BOYANOV & Co. was led by partner Damian Simeonov and included principal associate Ralitsa Nedkova and partner Nickolay Nickolov.

Boyanov & Co. provided full legal support to the lending banks, including in the legal due diligence of Manucor, drafting and negotiating the finance documentation and advice to the lenders on the sale and purchase agreement, escrow agreement, and other acquisition documentation, to the extent required to protect the lenders’ interest.

BOYANOV & Co. cooperated with the Italian law firm Gianni & Origoni on the relevant Italian law matters.
